Acceptance of Terms

By accessing or using Sova ("we," "our," or "us") and its creator affiliate management platform and related services (collectively, the "Service"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use the Service.

Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account

Use of the Service

For Brands

Brand users may use the Service to manage creator affiliate programs, including onboarding creators, tracking content, managing product seeding, generating discount codes via connected Shopify stores, and processing payouts through Stripe.

For Creators

Creator users may use the Service to participate in brand affiliate programs, view their earnings and content performance, connect social media accounts, and receive payouts for commissions earned through their promotional activities.

Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Use automated systems to access the Service without our written permission
• Manipulate or falsify sales attribution, discount code usage, or content metrics
• Create multiple accounts for fraudulent purposes

Intellectual Property

The Service, including its design, features, and content, is owned by Sova and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

Content uploaded by users (including creator content and brand materials) remains the property of the respective user. By uploading content to the Service, you grant Sova a non-exclusive license to display and process that content as necessary to provide the Service.

Third-Party Integrations

The Service integrates with third-party platforms including Shopify, TikTok, Instagram, Stripe, and Resend. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or content of third-party services.

By connecting your accounts, you authorize Sova to access and use data from these platforms as described in our Privacy Policy.

Payments and Payouts

Creator payouts are processed through Stripe. Sova facilitates the payout process but is not responsible for delays or issues caused by Stripe or the creator's financial institution. Commission rates and payout schedules are determined by the brand and communicated to creators through the platform.

Sova reserves the right to withhold payouts in cases of suspected fraud, violation of these Terms, or disputes between brands and creators.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Sova does not guarantee the accuracy of sales attribution data, content metrics, or any other analytics provided through the Service, though we strive to provide accurate information.

Limitation of Liability

To the maximum extent permitted by law, Sova shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service. Our total liability shall not exceed the amount you paid to Sova in the twelve months preceding the claim.

Termination

We may suspend or terminate your account at any time for violation of these Terms or for any reason at our discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately, and we may delete your data in accordance with our Privacy Policy.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
